1. Introduction and Acceptance
This Master Services Agreement (“Agreement”) serves as the primary contract between WebDesign.gy (“Service Provider”, “We”, “Us”) and the entity or individual engaging our services (“Client”, “You”).
By initiating a project, paying an invoice, or utilizing the “Initiate Deployment” functions on our platform, you acknowledge that you have read, understood, and agreed to be bound by the terms detailed herein. This Agreement supersedes all prior proposals, negotiations, and understandings, whether written or oral.
2. Scope of Engagement
Our services are categorized into specific deployment tiers. The scope of your specific engagement is determined by the tier selected at the time of purchase.
2.1 The Validator Tier
- Deliverables: A 5-page “Audit-Ready” structure designed for basic compliance.
- Inclusions: Official corporate email setup, Local Content Declaration Badge, and standard lead capture forms.
- Limitations: This tier does not include dynamic project portfolios or advanced database integrations.
2.2 The Tender Winner Tier
- Deliverables: A comprehensive 10-page corporate suite engineered for bidding contractors.
- Inclusions: Dynamic project portfolio system, PDF capability statements, and Google Map Pack verification.
- Focus: This tier is strictly focused on establishing credibility for procurement officers.
2.3 The Market Leader Tier
- Deliverables: Enterprise-grade digital infrastructure.
- Inclusions: Secure staff portals, digital document vaults, internal notice boards, and advanced WAF security shields.
- Focus: This tier is designed for large-scale operations requiring data sovereignty and internal workflow automation.
3. Intellectual Property and Asset Ownership
We distinguish ourselves from the market through our “100% Asset Ownership” policy.
3.1 Client Ownership
Upon the receipt of full payment for the agreed services, the Client is granted exclusive, transferable, and perpetual ownership of the following assets:
- The compiled source code of the specific website or application.
- All visual interface designs, graphics, and custom user experience elements created specifically for the project.
- All database schemas and the data contained therein.
- Administrative access credentials (keys) to the hosting environment and domain registrar.
3.2 Pre-Existing IP
WebDesign.gy retains ownership of its background technology, including pre-existing code snippets, proprietary frameworks, and development tools used to create the deliverables. The Client is granted a non-exclusive, royalty-free, perpetual license to use this background technology as part of the final deliverable.
4. Financial Terms and Payment Structure
We operate on a transparent, flat-rate model to ensure budget predictability for our corporate clients.
4.1 Payment Schedule
Unless otherwise specified in a custom invoice, our standard payment protocol is as follows:
- Mobilization Fee: A non-refundable deposit (typically 50% of the total tier value) is required to initiate the deployment.
- Completion Balance: The remaining balance is due immediately upon the “Notice of Completion” and prior to the final transfer of administrative credentials.
4.2 Late Payments
Invoices remaining unpaid for more than 14 days after the due date may result in a temporary suspension of services, including the pausing of hosting services and email servers.
5. Client Obligations and Content
To ensure the timely deployment of your infrastructure, the Client agrees to the following:
- Content Delivery: The Client must provide all necessary text, images, and branding assets within 10 business days of the project kickoff.
- Accuracy: The Client is solely responsible for the accuracy and legality of all content provided. WebDesign.gy is not liable for any legal claims arising from content supplied by the Client (e.g., copyright infringement in text or images).
6. Confidentiality and Non-Disclosure
We understand the sensitive nature of the Oil & Gas and corporate sectors in Guyana.
- Confidential Information: We define “Confidential Information” as any non-public data regarding your business plans, tender bids, financial data, or internal staff lists.
- Our Commitment: WebDesign.gy agrees to hold all Confidential Information in strict confidence and will not disclose it to any third party without your explicit written consent, except as required by law.
7. Limitation of Liability
In no event shall WebDesign.gy be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or use, incurred by the Client or any third party. Our maximum liability arising out of or in connection with this Agreement shall not exceed the total amount actually paid by the Client to us during the six (6) months immediately preceding the event giving rise to such claim.
8. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Co-operative Republic of Guyana.
- Amicable Resolution: Both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of no less than 30 days.
- Jurisdiction: If negotiation fails, the courts of Guyana shall have exclusive jurisdiction over any legal action resulting from this Agreement.
